The Role: There has never been a more exciting time to be part of GM's
Global Total Rewards team! The chosen candidate will lead two important HR
workstreams:
M&A: leading the full deal lifecycle for all HR stakeholders from pre-LOI
to integration, including global and domestic transactions such as
mergers, acquisitions, divestitures, minority investments, business
expansions, and integration and transition activities
US proxy statement: providing compensation expertise and support for the
executive compensation disclosure in the company's proxy statement
This leader will have the opportunity to serve as the leader for two
compensation analysts and a matrixed team of specialists on the HR due
diligence and integration teams, HR centers of expertise (COEs) and other
partners, both within and outside of HR, executing deal strategy and managing
the overall employee experience. The ideal candidate must be curious and a
constant self-driven learner, excel at establishing strong relationships, able
to navigate across global functions and enjoy working in a fast-paced, high
performing environment.
Responsibilities:
M &A
Lead end to end HR M&A activities globally, including establishing and
achieving HR deal milestones
Develop HR and People deal strategy and integration approach and oversee
implementation, in support of commercial and operational deal objectives
Engage HR deal leaders, oversee key activities and provide hands-on
support
Manage each transaction in accordance with established governance, guiding
principles and HR operating model
Facilitate knowledge sharing across the due diligence and integration
teams
Serve as a primary point of contact for HR and point of escalation for
deal HR matters
Refine templates and standardized processes
Gather feedback, identify areas for improvement, and participate in action
planning
Conduct HR due diligence, culture assessment and reporting
Provide support on all types of deal agreements including stock, asset and
related schedules and consulting and employment arrangements
Partner with Field HR, Talent Acquisition, and Total Rewards team members
to identify market competitive issues/key areas of focus and develop
pragmatic solutions
Update due diligence requests and playbook for each transaction
Proxy Statement
Lead executive compensation analytical, technical and consulting support
for proxy statement compensation issues
Continually benchmark proxy statement best practices and industry leaders
Support shareholder engagement, gather data, analyze external trends,
prepare data and recommendations for actionable review
Develop and maintain strong relationships, client focus for internal
partners (including legal, treasury, finance, accounting, audit) and
external stakeholders
Coordinate involvement by HR partners, COEs, internal stakeholders and
external advisors
Solicit input and gain buy-in from stakeholders to ensure consistent and
smooth execution
Additional Description
Required:
Bachelors degree in Finance, Mathematics or related field
Proficient in the English language
5 years of related HR M&A experience, post-merger integrations and
business expansions, leading a team of compensation professionals
Proxy statement experience
Validated ability to work independently and take initiative
Strong organizational and project management skills
Excellent written and verbal communications skills
Ability to use data to develop conclusions and recommendations to support
executive compensation issues
Advanced skills in Microsoft Excel
Ability to influence across diverse groups and levels of management
Highly proficient in Microsoft Office
Knowledge and Skills:
Global experience leading multiple, complex regional and global deals from
pre-LOI through post-integration
Demonstrated ability to multi-task, manage prioritization and lead
multiple projects simultaneously
Experience working in a large, global and matrixed, fast-paced environment
Exceptional experience with complex problem solving
Strong collaboration skills to work with HR functional leaders,
compensation and benefits teams, corporate development and executive teams
Executive presence and the ability to conduct virtual and in-person
meetings and influence outcomes
Knowledge of US laws related to HR, employment, benefits, compensation and
proxy statement
Understanding of employment environment and significant laws in other
countries
Strong communication, collaboration and relationship building skills
Successful team player who builds and maintains solid relationships with
internal teams
Ability to work with target companies, internal teams and various business
units on integration planning and implementation
Detail-oriented with proven ability to multi-task, manage time with
competing priorities and aggressive timelines to achieve goals and close
issues.
Preferred: 3 years of proxy statement experience
